1. Introduction
These Terms of Service ("Terms") govern your use of the BDM Wealth Management website and the engagement of our professional services. By using our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Services
BDM Wealth Management is an unregulated introduction business that connects businesses raising capital with investors and provides capital-raising structuring support and related coordination. We do not provide regulated financial advice, personal investment recommendations, or portfolio management. All investments carry risk, including the potential loss of capital. We do not guarantee the outcome of any fundraising process or investment.
3. Client Obligations
When engaging our services, you agree to:
- Provide accurate, complete, and up-to-date information and documentation
- Respond promptly to requests for additional information or documents
- Pay all agreed fees in a timely manner
- Comply with all applicable laws and regulations, including those of the UAE and, where relevant, the United Kingdom
- Not use our services for any unlawful purpose
4. Fees and Payment
Service fees will be communicated and agreed upon before the commencement of any engagement. Payment terms will be specified in the relevant service agreement or quotation. All fees are quoted in UAE Dirhams (AED) unless otherwise stated. Government fees, fines, and third-party charges are payable in addition to our service fees.
5. Limitation of Liability
To the maximum extent permitted by applicable law, BDM Wealth Management shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with our services. Our total liability for any claim shall not exceed the fees paid by you for the specific service giving rise to the claim. We are not liable for investment losses, market fluctuations, or the failure of any fundraising process, as all investments carry inherent risk.
6. Confidentiality
We treat all client information as confidential and will not disclose it to third parties except as necessary to deliver our services (e.g., submission to government authorities), as required by law, or with your prior written consent.
7. Intellectual Property
All content on our website, including text, graphics, logos, and design elements, is the property of BDM Wealth Management and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use any content without our prior written consent.
8. Termination
Either party may terminate a service engagement by providing written notice. In the event of termination, fees for work already completed and any government charges already incurred remain payable. We reserve the right to suspend or terminate services if you breach these Terms or fail to make agreed payments.
9. Complaints Procedure
If you are dissatisfied with any aspect of our service, please contact us in writing at mark.johnson@bdm.llc or by post to our registered office address. We will acknowledge your complaint within five business days and aim to provide a full response within eight weeks.
Please note that as BDM Wealth Management does not provide regulated financial advice and is not authorised by the Financial Conduct Authority (FCA), complaints cannot be referred to the Financial Ombudsman Service. You are not covered by the Financial Services Compensation Scheme (FSCS) in relation to our introduction and structuring support services.
10. Anti-Money Laundering
BDM Wealth Management is committed to the prevention of money laundering and terrorist financing. We may be required to verify the identity of our clients and the source of funds in accordance with applicable anti-money laundering legislation. We reserve the right to request identification documentation and evidence of the source of funds at any stage of an engagement. Failure to provide satisfactory documentation may result in the suspension or termination of our services.
11. Conflicts of Interest
BDM Wealth Management takes reasonable steps to identify and manage conflicts of interest that may arise in the course of providing introduction and structuring support services. Where a conflict of interest cannot be avoided, we will disclose the nature of the conflict to the affected parties before proceeding. Our fees are agreed with the capital-raising client and are disclosed in the relevant engagement documentation. We do not receive undisclosed commissions or payments from third parties in connection with our services.
12. Regulatory Status
BDM Wealth Management is the trading name of Black Duck Consultancy, a sole establishment licensed in Dubai (Trade License No. 1434626, issued by the Department of Economy & Tourism, Dubai, UAE). BDM is an unregulated introduction business and does not provide regulated financial advice. Investment opportunities communicated through this website are made available only to persons who qualify as High Net Worth Individuals or Self-Certified Sophisticated Investors under the Financial Promotion Order 2005.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Dubai.
